Terms and Service Agreement

This Service Agreement (the “Agreement”) is entered into by and between EarnOS Ltd (“EarnOS”), a company specialising in advertising services, and

1. Scope of Services

EarnOS agrees to provide advertising services (referred to as “Campaigns”) on its platform. Campaigns involve the completion of specific tasks or “Missions” by users on the EarnOS platform.

2. Payment Structure

Payment Methods: Payments may be made via credit/debit card or Direct Deposit.

Standard credit card processing fees will apply.

Clients will have their monthly costs deducted from the credit stored in their account, with payment required in advance. Payments must be made by the 15th of the preceding month. Any unused credit will roll over to the next month. If the allocated budget is exhausted during the month, clients will receive a notification and have the option to top up their account.

3. Term

This Agreement shall commence on the Effective Date and continue for a period of twelve (12) months (the "Term"), then keep rolling until cancelled by either party.

4. Campaign Management

Suspension/Pause: Customer may suspend or pause any Campaign at their discretion. This action can be done with immediate effect through the EarnOS platform.

Withdrawals: Unused funds can be withdrawn at any time. Withdrawals are subject to a 3-5 day processing period due to banking delays.

5. Termination

Either Party may terminate this Agreement by providing thirty (30) days' written notice to the other Party. Any fees incurred before termination remain due and payable.

Or both parties reserve the right to cancel within 48 hours of launch.

6. Confidentiality

Both parties agree to maintain the confidentiality of all business, technical, and financial information exchanged under this Agreement.

7. Limitation of Liability

EarnOS’s liability under this Agreement is limited to the amount paid by the Customer for the services rendered.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.

This Campaign is to launch in June 2025. Also known as the Effective Date.
